Terms of Service – Adastra Music Group

These Terms of Service ("Terms") govern your use of Adastra Music Group's ("AMG", "we", "us", or "our") services, including our website, waitlist, and future music distribution platform. AMG is operated by ADASTRA MUSIC, registered under the Companies Commission of Malaysia (SSM) with Registration No.: 202503330570 (003801097-A). By joining our waitlist or using any of our services, you agree to be bound by these Terms.

Compliance: We operate in compliance with the Personal Data Protection Act 2010 (PDPA) of Malaysia and other applicable laws.

Updates: These Terms may be updated periodically. The "Effective Date" at the top indicates when these Terms were last revised.

The following terms have specific meanings in these Terms:

To use AMG's services, you must meet the following criteria:

• Age Requirement: You must be at least 13 years old. Users under 18 require parental or guardian consent.
• Ownership Rights: You must be the owner of, or have necessary rights to, all music you intend to upload.
• Accurate Information: You must provide accurate, complete, and current information during registration.
• Legal Capacity: You must have the legal capacity to enter into binding contracts.
• No Previous Termination: You must not have had a previous AMG account terminated for violation of these Terms.

For future AMG dashboard access, the following account requirements will apply:

• Single Account: Each user may maintain only one account unless explicitly approved by AMG for multiple artist profiles.
• Account Suspension: Accounts may be suspended or terminated if false information is provided or if terms are violated.
• Dashboard Access: Future platform access will require account creation with email verification.
• Profile Accuracy: Artist profiles must accurately represent your musical identity and brand.
• Notification Responsibility: You must keep your contact information updated to receive important notifications.

By using AMG's services, you agree to the following responsibilities:

• Original Content: All music and artwork must be original or properly licensed.
• No Infringement: Content must not infringe upon any third-party copyrights, trademarks, or intellectual property.
• Legal Compliance: Content must not contain hate speech, illegal material, or promote violence.
• Accurate Metadata: You must provide correct and complete metadata (song titles, artist names, genres, etc.).
• No Artificial Streaming: You must not engage in "stream boosting" or artificial streaming manipulation.
• Quality Standards: Audio files must meet minimum quality standards specified by AMG.

Royalty payment terms for the future AMG platform:

• DSP Control: DSPs control royalty reporting schedules and payment timelines.
• No Liability: AMG is not liable for DSP payment delays or reporting errors.
• Payout Thresholds: Minimum payout thresholds may apply before royalties are distributed.
• Payment Information: Users must provide accurate payment information (PayPal, bank details, etc.).
• Tax Responsibility: Users are responsible for their own tax obligations on royalty income.
• Payment Schedule: Royalties will be paid according to AMG's published payment schedule.

Note: Specific payment terms will be detailed in the AMG dashboard when the platform launches.

The following activities are strictly prohibited:

• Copyright Infringement: Uploading content you do not own or have rights to.
• Artificial Streaming: Using bots, click farms, or services to artificially inflate stream counts.
• Metadata Manipulation: Using misleading metadata to manipulate search results or algorithms.
• Platform Abuse: Attempting to hack, disrupt, or interfere with AMG's platform.
• Brand Misuse: Using AMG's name, logo, or branding without permission.
• Multiple Accounts: Creating multiple accounts to circumvent platform limits or fees.
• Illegal Content: Uploading content that is illegal, promotes violence, or contains hate speech.
• Fraudulent Activity: Any form of fraud, including chargebacks or false claims.

Ownership and licensing terms for content uploaded to AMG:

By uploading content to AMG, you grant us a non-exclusive, worldwide, royalty-free license to:

• Distribute your content to DSPs and digital stores
• Store copies of your files on our servers
• Display your artist profile and content on our platform
• Use metadata to identify and categorize your content
• Generate previews and samples for promotional purposes
• Comply with legal requirements and DSP guidelines

License Term: This license continues for as long as your content remains on our platform and is necessary for us to provide distribution services.

Service availability and platform maintenance:

• No Guarantee: We do not guarantee uninterrupted or error-free service.
• Scheduled Maintenance: The platform may be unavailable during scheduled maintenance.
• Updates: We may update, modify, or discontinue features at any time.

AMG May Terminate If:

• Third-Party Dependencies: Service availability depends on third-party platforms and internet connectivity.
• Force Majeure: We are not liable for service interruptions beyond our reasonable control.

Account termination policies:

AMG May Terminate If:

• You violate these Terms or any applicable laws
• You upload copyrighted content without permission
• Fraud or artificial streaming is detected
• Chargebacks occur (for paid services in the future)
• You provide false information during registration
• Your account remains inactive for an extended period

User May Request:

• Account deletion at any time through the dashboard
• Removal of specific content from distribution
• Export of account data before deletion

Notice: We will provide reasonable notice before termination except in cases of severe violations.

To the maximum extent permitted by law, AMG shall not be liable for:

• Loss of revenue, profits, or business opportunities
• DSP-related issues, including takedowns, payment delays, or algorithm changes
• Delays in royalty reporting or distribution
• User errors in metadata or content submission
• Technical issues with third-party platforms or services
• Content disputes or copyright claims between users
• Indirect, incidental, or consequential damages

Maximum Liability: AMG's maximum liability shall not exceed the amount paid by the user for services in the preceding 12 months.

We may update these Terms from time to time:

• Notification: We will notify users of material changes via email or platform notifications.
• Continued Use: Continued use of our services after changes constitutes acceptance of new Terms.
• Review Responsibility: Users are responsible for reviewing Terms periodically.
• Archive: Previous versions of Terms will be archived and available upon request.
• Effective Date: Changes become effective on the date specified in the updated Terms.

For significant changes affecting user rights, we will provide at least 30 days' notice.
